By accessing or using the OmniLaw platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

OmniLaw is an AI-powered legal research platform that provides access to legislation, case law, and regulatory content from multiple European jurisdictions, including Cyprus and Austria. The Service enables users to search, analyze, and retrieve legal documents using artificial intelligence.

The Service is a legal research tool, not a law firm or legal advisory service. Content provided through OmniLaw does not constitute legal advice, and no attorney-client relationship is created by using the Service. You should always consult a qualified legal professional for advice on specific legal matters.

While we strive to provide accurate and up-to-date legal information, we do not guarantee the completeness, accuracy, or currency of any legal content accessible through the Service. Laws and regulations change frequently, and AI-generated summaries or analyses may contain errors.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

5. Subscription and Payment

5.1 Subscription Plans

The Service is offered through subscription plans as described on our pricing page. Features, usage limits, and pricing vary by plan. We reserve the right to modify pricing with 30 days' notice.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or required by law.

5.3 Free Trials

We may offer free trial periods. At the end of a trial, your subscription will begin, and you will be charged unless you cancel before the trial expires.

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be issued for partial billing periods.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Systematically scrape, harvest, or extract data from the Service through automated means
  • Reproduce, redistribute, or commercially exploit content from the Service without authorization
  • Interfere with or disrupt the integrity or performance of the Service
  • Share your account credentials with third parties or allow multiple users on a single-user plan
  • Reverse-engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, AI models, software, and proprietary content, is owned by OmniLaw and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.

7.2 Legal Content

Legislation, case law, and regulatory documents accessible through the Service are public legal materials. Our presentation, organization, indexing, and AI-enhanced analysis of these materials constitute our proprietary work product.

7.3 Your Content

You retain ownership of any content you submit to the Service (such as saved searches, notes, or annotations). You grant us a limited license to use such content solely to provide and improve the Service.

8. AI-Generated Content

The Service uses artificial intelligence to analyze, summarize, and present legal information. AI-generated outputs are provided for informational purposes only and may not be fully accurate, complete, or current. You acknowledge that:

  • AI-generated content should be independently verified before reliance
  • AI analysis does not replace professional legal judgment
  • We are not liable for decisions made based on AI-generated content

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • OmniLaw shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
  • Our total aggregate liability for all claims relating to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless OmniLaw, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime when possible.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification provisions.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through the courts of Cyprus, unless otherwise required by applicable consumer protection laws in your jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
